Rental Agreement

IMPORTANT! PLEASE READ CAREFULLY. THIS IS A CONTRACT. BY CLICKING THE BUTTON BELOW THAT STATES I have read and accept, YOU ACCEPT ALL TERMS OF THIS VENUE RENTAL AGREEMENT, AND THIS VENUE RENTAL AGREEMENT WILL BE A VALID AND LEGALLY BINDING DOCUMENT BETWEEN YOU AND US.

THIS VENUE RENTAL AGREEMENT (hereinafter referred to as the “Agreement”) is made and entered into as of today by and between Treehouse119 (hereinafter referred to as the “Owner”), of 119 S Broadway, Ste 101, Louisburg KS 66053 and YOU (hereinafter referred to as the “Guest”)

Whereas, Guest desires to rent Owners venue located 119 S Broadway, Ste 101, Louisburg KS 66053 (hereinafter referred to as the “Venue”) for Guests private events; and, subject to the terms and conditions hereof, Owner agrees to such rental.

NOW, THEREFORE, in consideration of the promises and other good and valuable consideration set forth, the parties agree as follows:

1. THE EVENT

(b) Event Details. Owner shall make the Venue available to Guest for the event described in this paragraph (hereinafter referred to as the Event) (See Guests/Events information form)

2. RENTAL FEE / ADDITIONAL HOURS / CONSUMPTION FEE

(a) Rental Fee. In consideration of Owner’s full and faithful performance of all of Owner’s obligations as set forth herein, Guest shall pay the Owner the “Rental fee” for the use of the Owner’s facility, which shall be payable at the time of reservation in advance.

• 3 Hour Rental; $300

• 6 Hour Rental; $400

• 9 Hour Rental; $600

Owner shall reserve the venue space for the Guest’s private event ONLY upon the receipt of Rental payment full amount of which shall remain nonrefundable.

Upon an event cancellation, the Rental Fee will not be refunded.

(b) Additional Hours. Up to 2 (two) additional hours may be reserved if available. When in doubt if time we recommend booking a longer time block now to ensure availability. The “Additional Hour Fee” is $25/hour. Additional Hours Fee will be billed on post-event invoice.

(c) Consumption Fee. Guest shall pay to the Owner an additional fee for venue provided food and/or drink that is consumed during the Event (the “Consumption Fee”). Consumption Fee rates are listed inside the venue.

3. GUEST OBLIGATIONS

(a) Guest agrees that any use of the Venue will comply with all statutes, ordinances, rules and regulations issued by federal, state and municipal governments, including all rules of the local police and fire departments and the City of Louisburg. Renter agrees to obtain or collect and to pay and deliver to the proper governmental agency any and all license fees, permits, royalties and taxes required in connection with the use of the facilities (if needed).

(b) The conduct of all Event attendees and guests while on Venue property shall be the responsibility of Guest. Guest also accepts all responsibility for any injury to person(s) or property, or loss of or damage to property or theft of personal property on Venue premises during the Event. Failure by any Event attendee or guest to comply with all applicable rules and regulations will be cause for eviction. Venue retains the right to evict objectionable persons from the premises.

(c) Guest agrees not to bring on to the Venue premises any material, substance, equipment or object that is likely to endanger the life of, or cause bodily injury to any person or property or which is likely to be a hazard.

(d) Guest may bring and serve alcoholic beverages during the Event at the Venue. Alcoholic beverages must be consumed inside the event space. Owner does however strongly recommend that all service and consumption of alcohol conclude one (1) hour prior to the Event end time to allow drivers to prepare to leave. Guest is responsible to arrange for the safe transportation of all attendees and guests that leave the premises after consumption of alcohol. Guest is responsible to ensure that all persons consuming alcoholic beverages at the Event are of legal age. Serving of alcohol to those under the legal age is a violation of state law and violators will be escorted off the property. Guests accept all responsibility for any state, local and federal laws.

4. ASSUMPTION

OF RISK Guest acknowledges that Guest and the Event’s attendees and guests use of the Venue during the Event may present certain risks to Guest and the Event’s attendees and guests, and Guest knowingly, willingly and voluntarily assumes any and all risks associated therewith, whether known or unknown, foreseeable or unforeseeable, specifically including but without limitation, the risk of physical or mental or emotional injury, minor and/or severe bodily harm, and/or illness, which arise by any means, including, without limitation: acts, omissions, recommendations or advice given by Owner or its agents, employees, or other persons or entities affiliated with the Event; participation in inherently dangerous activities, latent or apparent defects or conditions in the Venue; weather or other natural conditions; human error; Guest and/or the Event’s attendees’ and guests’ physical and mental condition; Guest and/or the Event’s attendees’ and guests’ acts or omissions; first-aid, emergency treatment or other services rendered to Guest and/or the Event’s attendees and guests.

5. WAIVER AND RELEASE

Guest knowingly, willingly and voluntarily releases, discharges and relinquishes any and all claims, actions and lawsuits of any kind against Owner, and its related and affiliated companies, licensees, sponsors, successors and assigns, and its employees, agents, contractors, partners, representatives and members, related to or arising from Guest’s use of the Venue during the Event (excluding claims for breach or alleged breach of Owner’s indemnifying representation, warranties or agreements made herein). Guest will, as condition for entering the Venue, cause each of the Event’s attendees and guests to agree to the same and indemnify and hold Owner harmless for any and all liability and damages (including, without limitation, reasonable attorneys' fees) that Owner might suffer from any claim made by any Event attendee and guest related to or arising from such attendee’s and/or guest’s use of the Venue during the Event.

6. INDEMNIFICATION

Except as otherwise provided herein, Owner and Guest agree to indemnify and hold one another harmless for any and all liability and damages (including, without limitation, reasonable attorneys' fees) the other party hereto may suffer as a result of any and all claims, damages, costs or judgments for personal injury, property losses or property damages incurred or suffered by or threatened against the other party in connection with any claim brought by or on behalf of any third party, person, firm or corporation (including either Guest's or Owner's employees) as a result of or in connection with the Event, provided that such claims result from the breach or alleged breach of the indemnifying party's warranties, representations or agreements herein.

7. MISCELLANEOUS

(a) In the event that any provision or part of this Agreement shall be deemed void or invalid by a court of competent jurisdiction, the remaining provisions or parts shall be and remain in full force and effect.

(b) This Agreement is not assignable or transferable by either party, in whole or in part, without the prior written consent of the non-assigning party.

(c) This Agreement constitutes the entire agreement between the parties hereto with respect to the specific subject matter hereof and supersedes all prior agreements or understandings of any kind with respect to the specific subject matter hereof.

(d) Any modification to this Agreement must be in writing and signed by the parties or it shall have no effect and shall be void.

(e) This Agreement shall be governed in accordance with the laws of the State of Kansas, applicable to agreements to be wholly performed therein.

8. DAMAGES

In case of any damage to the venue or theft of furnishings, appliances or other property of Treehouse 119 items the Guest would be held 100% liable for repair or replacement.

IN WITNESS WHEREOF the parties have duly executed this Agreement as of the date first written above.

YOU ACKNOWLEDGE THAT YOU HAVE READ THE FOREGOING VENUE RENTAL AGREEMENT AND UNDERSTAND IT.
